Macnica Inc. has agreed to acquire a majority stake in Singapore-based Orangeleaf Consulting Holding Co., the Japanese technology solutions provider said on August 5, as it seeks to expand digital transformation consulting for Japan’s manufacturing sector.

Orangeleaf Consulting Holding owns Orangeleaf Consulting Sdn Bhd, a Malaysia-based consulting and software development company led by founder and Chief Executive Officer Tim Hendricks. Financial terms were not disclosed.

Macnica, based in Yokohama and led by President Kazumasa Hara, said the companies formed a business alliance in 2024 in digital transformation consulting. Through that partnership, they worked on digital transformation projects for Japanese manufacturers and support for in-house development using Mendix, Siemens’ low-code platform, demonstrating the approach’s effectiveness in those areas.

The acquisition is intended to bring a jointly developed model for agile transformation and support for in-house digital capabilities to the Japanese market on a broader scale, Macnica said.

The company said the transaction would strengthen collaboration through closer sharing of know-how and personnel exchanges. Macnica plans to combine its customer base in Japan, support for corporate in-house development and use of advanced technologies including artificial intelligence with Orangeleaf’s global consulting experience and software development capabilities.

The combined offering is designed to cover digital transformation strategy planning, agile development, support for in-house digital transformation, workforce training and continuous improvement. Macnica also plans to combine its “Digital execution Factory” service, which systematizes organizational and operational frameworks for digital transformation, with Orangeleaf’s global best practices to help customers build structures for continuous, self-directed change.

Japan’s manufacturers have been under pressure to modernize legacy systems and make broader use of AI while addressing shortages of digital talent. Japanese companies have also been working to reduce reliance on outsourced development in order to build internal technology capabilities.

Macnica is known in Japan for semiconductor distribution and technology solutions, and has been expanding services tied to AI, cybersecurity and digital transformation.
