Shimizu Corporation (President: Tatsuya Shimmura) has resolved to acquire all shares in American Engineering Corporation (Okinawa) (Head office: Ginowan-shi, Okinawa) (“AEC”), a U.S.-registered construction company, to make AEC a wholly owned subsidiary, with such aims as enhancing its capabilities for U.S. military base construction projects in Japan and Guam as well as for IT infrastructure projects, particularly data centers for foreign-capital clients. The share acquisition is expected to take place in late May 2026 or later.

Established in 1964 in Delaware, USA, AEC is a construction company with the expertise to provide integrated services ranging from new construction to the design, installation, and maintenance of facilities such as HVAC, electrical, and fire protection systems. With more than 1,200 employees, AEC’s primary business location is Okinawa, and it also has operations in the Asia-Pacific region such as Guam. For the fiscal year ended December 2025, the AEC group recorded revenue of approximately 50 billion yen, of which about 85% was generated in Japan.

The acquisition of AEC shares is a concrete step in executing Shimizu’s business strategy of pursuing external growth in its construction business and expanding its engineering segment within the non-construction business, as set out in its Mid-Term Business Plan. Shimizu remains committed to pursuing alliances and M&A with companies that possess unique strengths both in Japan and overseas, and plans to accelerate the diversification of its revenue base and the strengthening of its competitiveness.
